TRADE SECRET NON-DISCLOSURE AGREEMENT

The information contained herein discloses certain confidential trade secretsrelating to Spirit Sportswear's School Sportswear Fund-Raising program (the"trade secrets").  The person receiving this information (the Confidant)agrees to the following.

A.)  to protect the confidentiality of the trade secrets relating tothe marketing, promotion and all other aspects of Spirit Sportswear's SchoolSportswear Fund-Raising Program.

B.)  to exploit the trade secrets only for Spirit Sportswear's and theConfidant's mutual business purposes and not to exploit them for the Confidant'ssole business purposes.

C.)  To not MODIFY, ADAPT, TRANSLATE, RENT, LEASE, LOAN, RESELL FORPROFIT, OR CREATE DERIVATIVE WORKS based upon the enclosed information

The following Business Plan was originally written in 1995 but never handedout!  Although most of the information is still valid, some sales andmarketing strategy and equipment requirements have changed.  We arecurrently in the process of making those changes!
